Fwup Fwup made me return these headphones
I was excited about these headphones after trying them in the store. However, listening to them for extended times proved problematic. With TWO different pair (exchanged the first and returned the second) I heard the low frequency FWUP FWUP you might hear from a half-open sun roof on your car at some speeds. The pressure on my ear drum was very uncomfortable. If you lifted one ear piece, the noice would stop for a while then return. It seemed the noice cancelation circut would get in some wierd harmonic with the rhythm of the music then feed-back and get louder and louder. I was very disapointed since really wanted to like these a 1/2 the price of the BOSE. I guess you "gets what you pays for".

Nothing is Perfect
Nothing is perfect, but here are a few observations:

Negative: If you are used to ear buds or lightweight headphones, these may take some time to be comfortable. The carrying case could be better designed with a divider so you don't have to use a little piece of foam to keep the ear cups from rubbing each other. The white noise used to drown out external sounds can be noticeable especially during quiet passages of classical music.

Positive: Half the cost of Bose, adjustable volume on the headset is a real plus, sound is very good in my opinion, and the ability to operate with or without noise cancellation make them quite versatile.

I like them well enough to keep and they have made studying in noisy environments (like Starbucks or at home around my small children) much more enjoyable and productive.

Great value!
I bought these as we were about to fly to Hawaii (5+ hours) and figured I'd return them if they didn't live up to my expectations. I had never tried other models so had nothing to compare them to but felt they significantly reduced the "whooshing" noise as the plane flies through the air. Yes, they do fit snuggly over the ears (my wife didn't like them for this reason) but it didn't bother me (matter of personal taste). Admittedly, I am not an audiophile but listened to my MP3 player and watched a movie and felt the sound was excellent and really appreciated being able to understand the dialogue in the movie without having to have the sound turned way up. Bottom line is that I kept them.

Disappointing
I tried these for several days and finally ended up returning them. The audio quality just didn't seem very good. Lots of bass, but no treble. Music sounded a bit muffled, like you were hearing it from down the end of a long hall. The noise cancellation worked pretty well, and I liked the volume control on the side of the headphone. As others have pointed out, they fit very snugly on your head, so they start to hurt after wearing them for any length of time. I just couldn't see spending this much for something that had worse audio quality than my cheap Sony headphones, even if they do have noise cancellation. I finally bought the Shure E3C earbuds, which use passive sound isolation rather than active noise cancelling technology. It works very well, plus you can use them during the takeoff and landing phases on a commercial airliner, which you can't do with active noise cancelling headphones.

Reduces Outside Noise With Good Sound Quality
These headphones use white noise to interfere with and minimize outside noises. They don't use active noise cancellation, so don't expect total silence when wearing these headphones. The white noise is soothing if you're just wearing the headphones and not listening to music.

The headphones are quite comfortable and have a separate volume control. Batteries are required for white noise generator, but if the batteries wear out, you can still use them to listen to music or other audio.

These headphones are good value for this type of noise cancellation headphone. If you want to pony up the $300, then go for the Bose noise cancellation headphones because I'm pretty sure that Bose uses Active Noise Cancellation technology to generate inverse audio waves that actively cancel external noises. For most people, I suspect, white noise cancellation is probably just fine.
